Coca-Cola India Bottling Arm Files DRHP for IPO; ₹9,500 Crore Public Issue in Focus

Hindustan Coca-Cola Holdings files its DRHP with SEBI for an IPO comprising nearly 99.75 crore shares. The proposed ₹9,500 crore listing could value the business at around $10 billion.

Coca-Cola India Bottling Business Moves Closer to Stock Market Listing

Coca-Cola's India bottling business is officially moving towards the public markets. Hindustan Coca-Cola Holdings Limited (HCCH), the parent company of Hindustan Coca-Cola Beverages (HCCB), has filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI), taking an important step towards its proposed initial public offering (IPO).

The draft papers were filed on November 6, with the development reported on November 7, 2026.

The proposed public issue will comprise an offer for sale (OFS) of up to 997,461,456 equity shares, representing nearly 99.75 crore shares. The IPO is expected to raise approximately ₹9,500 crore, or around $1 billion, based on earlier estimates. The proposed valuation has been pegged at approximately $10 billion, although the final pricing will be determined closer to the issue.

The filing puts one of India's biggest beverage businesses on the path towards a stock market debut, making it an important development for the country's FMCG and packaged beverages industry.

IPO Will Be Entirely an Offer for Sale

One of the key details in the DRHP is the structure of the proposed IPO.

Unlike companies that raise fresh capital to fund expansion, HCCH's proposed public issue will be entirely an offer for sale. Hindustan Coca-Cola Overseas Holdings Pte. Ltd., the promoter selling shareholder, plans to offload up to 99.75 crore equity shares with a face value of ₹10 each.

This means the proceeds from the share sale will go to the selling shareholder after deducting applicable offer-related expenses. Hindustan Coca-Cola Holdings itself will not receive any money from the IPO.

The shares are proposed to be listed on both the Bombay Stock Exchange (BSE) and the National Stock Exchange (NSE).

Coca-Cola and Jubilant Bhartia Group Hold Major Stakes

The proposed listing follows a significant ownership change in Coca-Cola's Indian bottling operations.

The Coca-Cola Company currently holds a 60% stake in Hindustan Coca-Cola Holdings, while Jubilant Bhartia Group owns the remaining 40%.

Jubilant entered the business in 2025 after acquiring its stake for approximately ₹12,500 crore, marking an important shift in the ownership structure of Coca-Cola's Indian bottling operations.

The IPO is also aligned with Coca-Cola's broader global strategy of moving towards a more asset-light, franchise-led business model, allowing the company to concentrate more on brand development, marketing, distribution strategy and digitisation rather than directly managing every bottling operation.

What Does Hindustan Coca-Cola Holdings Do?

Hindustan Coca-Cola Holdings operates through its subsidiary, Hindustan Coca-Cola Beverages, and is among the most significant players in India's non-alcoholic ready-to-drink beverage market.

The company manufactures, packages, distributes and sells a wide portfolio of beverages across its operating territories, primarily in southern and western India.

Its portfolio includes some of India's most recognisable beverage brands:

- Coca-Cola

- Thums Up

- Sprite

- Fanta

- Limca

- Maaza

- Kinley

- Minute Maid

- Monster

- Schweppes

The business operates across three major categories: sparkling beverages, hydration products and still beverages.

According to its DRHP, the company operates 14 manufacturing plants, along with eight co-pack units.

The business also reported a 37.2% value market share across the overall soft drinks and packaged drinking water categories in its key select markets, according to the industry report referenced in its filing.

Revenue Crosses ₹11,600 Crore in FY26

The company's financial performance will be an important factor for investors evaluating the proposed IPO.

According to the DRHP, Hindustan Coca-Cola Holdings reported revenue from operations of ₹11,663.24 crore in FY26, compared with ₹12,869.54 crore in FY25.

However, its more recent quarterly performance showed stronger momentum.

For the three months ended June 30, 2026, the company reported revenue from operations of ₹4,310.17 crore, registering year-on-year growth of 20.46%. Its total sales volume also increased by 18.61% during the period.

The EBITDA margin, excluding other income and exceptional items, improved to 17.20%, compared with 13.76% in the corresponding period of the previous year.

These numbers will be closely watched as investors assess the company's growth potential, profitability and ability to strengthen its position in India's competitive beverage market.

Who Are the IPO Bankers?

Several major financial institutions have been appointed to manage the proposed public issue.

The book-running lead managers include Kotak Mahindra Capital Company, Citigroup Global Markets India, J.P. Morgan India, Morgan Stanley India, Axis Capital, Goldman Sachs (India) Securities and IIFL Capital Services.

KFin Technologies Limited will act as the registrar to the issue.

When Will Coca-Cola India's IPO Open?

While the DRHP filing marks a major step forward, investors will have to wait for further regulatory developments before the IPO timeline becomes clear.

The proposed shares are expected to be listed in 2027, subject to regulatory approvals and completion of the necessary procedures.

The company has not yet announced the final issue price, price band, lot size or opening and closing dates.

Why This IPO Matters for India's FMCG Industry

Coca-Cola India's proposed listing is significant for more than just the size of the transaction.

India remains an important growth market for global beverage companies, with rising consumption, expanding distribution networks and increasing demand for packaged drinks creating opportunities across the sector.

The listing will also bring greater public-market attention to the economics of India's beverage bottling business, including manufacturing costs, distribution efficiency, seasonal demand and operating margins.

Another interesting comparison will be with Varun Beverages, PepsiCo's major bottling partner in India, which is already listed on Indian stock exchanges.

With Coca-Cola's bottling operations preparing for a potential public-market debut, investors will get an opportunity to evaluate another major player in India's rapidly evolving beverage industry.

For now, the DRHP filing is the first major milestone. The next developments around regulatory approvals, valuation and the IPO timeline will determine how this much-anticipated listing takes shape.
